Ginko Terms of Service

These Terms of Service (“Terms”) govern your access to and use of the Ginko application, website, and related services (collectively, the “Service”). The Service is provided by Starwish Limited, a New Zealand company based in Wellington, New Zealand (“Starwish”, “we”, “us”, or “our”).

By downloading, accessing, or using the Service, you agree to these Terms. If you do not agree, do not use the Service.

1. Eligibility

You may use the Service only if:

  • you are at least 18 years old; and
  • you have the legal capacity to enter into a binding contract.

You must not use the Service on behalf of another person or entity unless you are authorised to do so.

2. The Service

Ginko is a personal wealth tracking, record-keeping, analysis, and decision-support tool designed to help users understand and manage their financial position.

The Service may include features such as:

  • unified views of assets, liabilities, and net worth;
  • recording and replaying asset events and historical timelines;
  • importing portfolio or account data from supported file formats, including Sharesies CSV exports;
  • cloud backup, archive upload, and restore functionality;
  • AI-powered financial Q&A (“Ask Ginko”) that lets you ask natural language questions about your assets, holdings, and net worth;
  • AI-powered explanations, diagnostics, analysis, and controlled write suggestions; and
  • valuation and currency conversion features that rely on third-party market data and foreign exchange data.

The Service is not a bank, broker, custodian, payment service provider, financial adviser, tax adviser, law firm, or accounting firm.

3. No Financial, Investment, Tax, Legal, or Accounting Advice

The Service is provided for informational, organisational, record-keeping, and decision-support purposes only.

Nothing in the Service constitutes or should be relied on as:

  • financial advice;
  • investment advice;
  • tax advice;
  • legal advice; or
  • accounting advice.

No fiduciary, advisory, brokerage, custody, or similar professional relationship is created between you and Starwish through your use of the Service.

You are solely responsible for your own decisions, actions, filings, transactions, and financial outcomes. You should obtain advice from appropriately qualified and licensed professionals where needed.

4. AI Features and Limitations

The Service may provide AI-powered outputs, including explanations, summaries, diagnostics, suggestions, and proposed write actions.

You acknowledge and agree that:

  • AI outputs may be inaccurate, incomplete, misleading, outdated, or unsuitable for your circumstances;
  • AI outputs depend on the quality, completeness, and accuracy of the information available to the Service;
  • AI outputs are provided as assistance only and must be independently reviewed by you before reliance or action; and
  • you must not rely on AI outputs as a substitute for professional advice or your own judgment.

Controlled write actions

AI-generated write actions, accounting or ledger changes, or other high-risk changes must not be executed without your explicit confirmation.

This includes, without limitation:

  • AI-generated write commands;
  • cloud restores that overwrite local data;
  • changing a sync code; and
  • other high-risk ledger or account changes identified by the Service.

Your prior approval of one action does not create standing approval for future actions.

When you use Ask Ginko or other AI-powered query features, your questions and relevant asset or portfolio data may be transmitted to third-party AI service providers for processing. Starwish does not use your data to train or improve those providers’ models.

5. Account, Credentials, and Security

You are responsible for maintaining the confidentiality and security of your device, account, backup materials, sync codes, and any other credentials or secrets used with the Service.

You are responsible for all activity that occurs through your account or device, except to the extent caused by our breach of law or these Terms.

You must notify us promptly at aki@starwish.co.nz if you believe your account, sync code, backups, or data have been compromised.

6. Your Data and Responsibilities

You are responsible for the data you input, upload, import, connect, or otherwise make available through the Service, including financial records, portfolio data, asset records, liabilities, supporting files, and any personal information relating to yourself or others.

You represent and warrant that:

  • you have all necessary rights, permissions, and authority to provide that data to the Service;
  • the data you provide is not knowingly false, misleading, or unlawfully obtained;
  • you will not upload or input data in breach of any law, confidentiality obligation, or third-party right; and
  • you will not input or maintain records for unlawful purposes, including money laundering, terrorist financing, fraud, or concealment of illegal proceeds.

You remain solely responsible for reviewing and verifying the completeness and accuracy of your records, reports, valuations, tax treatment, and other outputs.

7. Data Imports, Market Data, FX Rates, and Valuation Limitations

The Service may rely on imported files, user-entered data, and third-party data sources. The Service does not directly access your bank or brokerage accounts using your login credentials, and we do not collect or store your banking passwords.

You acknowledge that:

  • supported import formats may change without notice;
  • imported files, including Sharesies CSV exports, may contain errors, omissions, duplicates, formatting changes, or delays;
  • third-party market data and foreign exchange rates may be delayed, unavailable, incomplete, or inaccurate;
  • valuations of property, private assets, illiquid assets, and other non-market assets may be estimates only; and
  • net worth, performance, allocation, timeline, and diagnostic outputs are only as accurate as the data available to the Service.

The Service does not guarantee that any valuation, exchange rate, market price, return figure, performance metric, or historical reconstruction reflects realisable market value or future outcomes.

8. Cloud Backup and Restore

The Service may allow you to upload backups or archives and restore them on another device.

You understand that restore operations may overwrite local data. You are responsible for confirming the correctness of the selected backup, archive, or restore target before proceeding.

We are not responsible for loss caused by restoring the wrong backup, restoring outdated data, interrupted restores, conflicting local changes, device issues, or your failure to keep your own copies of important records.

You should maintain your own independent backup practices for important financial records.

9. Subscription, Billing, and App Store Terms

Some parts of the Service are available for free, while other features may require a paid subscription.

If you purchase a subscription through the Apple App Store or Google Play:

  • billing, payment processing, renewals, cancellations, and refunds are handled by the relevant app store provider under its terms and policies;
  • subscriptions may automatically renew unless cancelled through your Apple App Store or Google Play account settings;
  • any free or basic tier does not create an entitlement to continued access to paid features without payment; and
  • we may change the scope, features, or availability of subscription plans from time to time.

To the extent permitted by law, refunds for app store purchases are handled by the relevant app store provider, not by Starwish.

10. Apple App Store and Google Play Additional Terms

If you access the Service through an application obtained from the Apple App Store, you acknowledge and agree that:

  • the licence granted to you for the Service is limited to a non-transferable licence to use the Service on any Apple-branded Products that you own or control as permitted by the Usage Rules set forth in the Apple Media Services Terms and Conditions (except that the Service may be accessed and used by other accounts associated with you via Family Sharing or volume purchasing);
  • these Terms are entered into between you and Starwish, and not with Apple;
  • Apple is not responsible for the Service or its content;
  • Apple has no obligation to furnish any maintenance or support services for the Service;
  • to the maximum extent permitted by applicable law, Apple has no warranty obligation with respect to the Service;
  • any claims relating to the Service, including product liability claims, claims that the Service fails to conform to legal or regulatory requirements, and claims under consumer protection, privacy, or similar laws, are between you and Starwish, not Apple, except as required by law;
  • in the event of any third-party claim that the Service or your possession and use of it infringes intellectual property rights, Starwish, not Apple, will be solely responsible for the investigation, defence, settlement, and discharge of such claim, to the extent required by these Terms and applicable law; and
  • Apple and Apple’s subsidiaries are third-party beneficiaries of these Terms and may enforce these Terms against you to that extent.

You also represent that:

  • you are not located in a country that is subject to a U.S. Government embargo, or designated by the U.S. Government as a “terrorist supporting” country; and
  • you are not listed on any U.S. Government list of prohibited or restricted parties.

If you access the Service through an application obtained from Google Play, you acknowledge and agree that Google Play’s applicable terms and policies may also apply to your download, purchase, subscription, cancellation, and refund rights.

11. Acceptable Use

You must not, and must not permit any other person to:

  • use the Service for any unlawful, fraudulent, deceptive, abusive, or harmful purpose;
  • use the Service to record, disguise, structure, facilitate, or support money laundering, terrorist financing, sanctions evasion, tax fraud, or concealment of illegal proceeds;
  • input, upload, or share data that you do not have the right to use;
  • interfere with or disrupt the Service, its infrastructure, or related systems;
  • circumvent access controls, rate limits, or technical protections;
  • reverse engineer, decompile, disassemble, translate, probe, copy, scrape, benchmark, extract prompts from, or attempt to discover source code, models, system instructions, logic, workflows, or non-public behaviour of the Service, except to the extent such restriction is prohibited by law;
  • use automated means to harvest outputs, replicate functionality, or build a competing product using the Service;
  • use the Service in a way that infringes privacy, confidentiality, intellectual property, or other rights of any person; or
  • misuse AI features to generate or record false, fabricated, or misleading financial history.

12. Intellectual Property

The Service, including its software, interface design, branding, workflows, AI interaction patterns, data models, documentation, and all related intellectual property rights, are owned by or licensed to Starwish.

Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable licence to use the Service for your personal internal use.

You do not acquire any ownership rights in the Service.

If you provide feedback, suggestions, ideas, enhancement requests, or similar input regarding the Service, you grant Starwish a worldwide, perpetual, irrevocable, royalty-free right to use, modify, and incorporate that feedback without restriction or compensation.

13. Future Household and Multi-Entity Features

The Service may in future include household, shared access, multi-entity, delegated access, or similar collaboration features.

Unless and until such features are made available, nothing in these Terms obliges us to provide them.

If such features are introduced, additional feature-specific terms may apply. In general, any user who invites, authorises, or shares access with another person is responsible for ensuring that the sharing is intentional, lawful, and appropriate for the sensitivity of the data involved.

Financial records shared through any future collaboration features may include sensitive and highly confidential information. You are solely responsible for deciding whether and with whom to share access.

14. Service Availability and Changes

We may change, suspend, limit, or discontinue any part of the Service at any time, including features, integrations, supported import formats, data sources, and subscription offerings.

We do not guarantee that the Service, or any part of it, will always be available, uninterrupted, secure, error-free, or compatible with your device or third-party services.

We may release updates, patches, or modifications, and some features may stop working if you do not install updates.

15. Privacy

Our collection, use, storage, and disclosure of personal information are described in our Privacy Policy.

By using the Service, you acknowledge that your information may be processed in accordance with our Privacy Policy.

16. Suspension and Termination

We may suspend, restrict, or terminate your access to the Service, with or without notice where reasonable in the circumstances, if:

  • you breach these Terms;
  • we reasonably suspect unlawful activity, fraud, money laundering, terrorist financing, sanctions issues, or misuse of the Service;
  • your use creates security, legal, operational, or reputational risk for us or others; or
  • we are required to do so by law or by a platform provider.

You may stop using the Service at any time.

Termination does not affect any accrued rights, liabilities, or provisions of these Terms that are intended to survive termination.

17. Disclaimers

To the maximum extent permitted by law, the Service is provided on an “as is” and “as available” basis.

To the maximum extent permitted by law, Starwish disclaims all warranties, representations, and guarantees, whether express, implied, statutory, or otherwise, including any implied warranties of merchantability, fitness for a particular purpose, title, non-infringement, accuracy, reliability, availability, or uninterrupted operation.

Without limiting the above, we do not warrant that:

  • the Service will be error-free, secure, or continuously available;
  • any data, output, valuation, exchange rate, diagnostic, or report will be accurate or complete;
  • the Service will meet your requirements or achieve any particular outcome; or
  • defects will always be corrected.

Nothing in these Terms excludes any non-excludable rights you may have under applicable law, including rights under the Consumer Guarantees Act 1993 or Fair Trading Act 1986 to the extent applicable and not lawfully excluded.

If you are acquiring the Service in trade or for the purposes of a business, then to the extent permitted by New Zealand law, you agree that the Consumer Guarantees Act 1993 does not apply to the Service or these Terms, and that it is fair and reasonable for the parties to be bound by this clause.

18. Limitation of Liability

To the maximum extent permitted by law, Starwish and its directors, officers, employees, contractors, affiliates, licensors, and service providers will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive loss or damage, or for any loss of profits, revenue, business, goodwill, data, opportunity, or anticipated savings.

To the maximum extent permitted by law, Starwish is not liable for loss or damage arising out of or in connection with:

  • your reliance on AI outputs, valuations, reports, diagnostics, or suggestions;
  • data supplied by you or third parties;
  • import errors, formatting changes, duplicate records, missing data, or failed restores;
  • market data errors, delayed pricing, exchange rate inaccuracies, or third-party service interruptions;
  • your investment, tax, accounting, legal, or commercial decisions;
  • unauthorised access caused by your failure to secure your device, credentials, sync code, or backups; or
  • suspension, unavailability, or discontinuation of all or part of the Service.

To the maximum extent permitted by law, our total aggregate liability to you for all claims arising out of or relating to the Service or these Terms will not exceed:

  • where you have paid for a subscription or paid feature, the total amount you paid to us or through the App Store for the Service in the 12 months immediately preceding the event giving rise to the claim; or
  • where you have not paid anything for the Service, NZD $100.

Nothing in these Terms limits or excludes liability to the extent such liability cannot be limited or excluded by law.

19. Indemnity

You agree to indemnify and hold harmless Starwish and its directors, officers, employees, contractors, affiliates, and service providers from and against any third-party claims, losses, liabilities, damages, costs, and expenses (including reasonable legal fees) arising out of or related to:

  • your breach of these Terms;
  • your misuse of the Service;
  • your unlawful or unauthorised data, uploads, or records; or
  • your violation of any law or the rights of any person.

This clause applies only to the extent permitted by applicable law.

20. Governing Law and Jurisdiction

These Terms are governed by the laws of New Zealand, excluding conflict of laws principles.

You and Starwish submit to the exclusive jurisdiction of the courts of New Zealand in relation to any dispute arising out of or in connection with these Terms or the Service.

21. Changes to These Terms

We may update these Terms from time to time.

If we make material changes, we may provide notice by updating the date at the top of these Terms, through the Service, on our website, or by other reasonable means.

Your continued use of the Service after updated Terms take effect constitutes acceptance of the updated Terms.

22. General

If any provision of these Terms is found to be invalid, illegal, or unenforceable, the remaining provisions will remain in full force and effect.

Our failure to enforce any provision of these Terms is not a waiver of that provision.

You may not assign or transfer your rights or obligations under these Terms without our prior written consent. We may assign or transfer our rights and obligations to an affiliate or in connection with a merger, acquisition, restructuring, or sale of assets.

These Terms, together with any applicable subscription terms and our Privacy Policy, form the entire agreement between you and Starwish regarding the Service.
